By-laws

Article I - Membership

Section 1. Application for membership shall be in accordance with Article IV of the Constitution. The accompanying fees will consist of:

a.     Current annual dues as determined by the membership.

b.     Applicable AMA membership dues or possession of a current AMA (Academy of Model Aeronautics) membership card .

Section 2. Application for Junior membership shall be in accordance with Article IV of the constitution. The accompanying fees will consist of:

a.     Applicable AMA membership dues or possession of a current AMA (Academy of Model Aeronautics) membership card.
 

Article II - Administration

Officers of the Club are elected by the membership to represent them in the conduct of the Club. In the event an officer finds that their duties or other activities precludes his attendance at meetings to such an extent that he can no longer be effective, they may resign without prejudice and the membership will replace them as provided in the constitution. In the same manner, an officer who consistently misses meetings may be replaced on a permanent basis by advising the officer of the intended action, and in the absence of adequate explanation, take action for replacement. Absence from two consecutive meetings may be considered prima-facie evidence of a member's ineffectiveness

Article III - Financing

Section 1. All financial transactions of the Club of over $150.00 will be the responsibility of the Club officers with the approval of the membership. Transactions of under $150.00   per transaction may be approved by the club officers.

Section 2. All checks over $150.00 must be signed and countersigned by the President and the Treasurer or other officer.

 

Article IV - Elections

All elections will be in accordance with Article VII, Section 2 of the constitution.

 

Article V – Dues
Dues will be as determined by the membership. Dues are paid annually in by December.

 

Article VI - Committees

The Club officers may appoint special committees as needed to effectively conduct the business of the Club. Their duties shall be specified at the time of appointment. The Club officers may relieve or change members thereof or dissolve such committees as they are no longer necessary.

Article VII - Duties

Section 1. The duties of the President will be to lead the Club and to preside at all meetings of the Club. He will call special meetings with the officers as needed. He will call special meetings of the Club members in accordance with the Constitution. Roberts Rules of Order will be the governing rules for the conduct of meetings for the general membership.

Section 2. The duties of the vice-president will be to assist the President and to officiate in his absence. He will monitor and coordinate the activities of the various committees as necessary.
 

Section 3. The duties of the Secretary will be to keep minutes of all club meetings, be responsible for all club correspondence.

Section 4. The duties of the Treasurer will to be  receive, disburse, and account for all funds of the club. He will keep full and accurate books or accounts, containing records of moneys received and expended. These books shall be the property of the club and open to inspections at any reasonable time. The Treasurer shall maintain the official membership roster of the club.


Section 5.

The duties of the Safety Officer will be to establish and stimulate interest in a safety program consistent with AMA rules, and conduct periodic briefings with the membership or individual members as necessary. Potential safety hazards and observed safety violations will be brought to the attention of the general membership, for its consideration.

Section 6.

The Program Director shall be responsible for programming and direction of club contests, arranging programs of interest for presentation at general meetings, and coordinating social functions. The Program Director is empowered to attain committee assistance in the performance of his duties.

Article VIII - Club Facilities

Section 1. Facilities of the club are available to all members on an equal basis.

Section 2. All members are responsible for the proper use and care of club facilities and property used by them. Willful or negligent abuse of such will be cause for corrective action by the club officers, include replacement or reimbursement, suspension of privileges for a specific period of time or termination of membership.
 

Article IX - Guests

Section 1. A guest is a friend of acquaintance of a member or members, present at the club or its facilities at his or their invitation. This may include prospective members.

Section 2. Persons who are a member of the AMA or who have applied for membership in the AMA may be accorded guest privileges for a period of 30 days or until the next regularly scheduled club meeting, which ever occurs first.

Article X- By-Laws

A copy of the Constitution and these By-Laws will be presented to all members or may be viewed on the club’s web-page or will be presented a copy of the Constitution and By-Laws if requested.  Club. Members of the club will be expected to be cognizant of the contents in so far as they pertain to them and their relationship to the club, and be governed accordingly.

 

Article XI - Amendments

Amendments to the By-laws shall follow the procedure set forth in the clubs’ Constitution as outlined in Article IX Sections 1 and 2.

 

Article XII - IDEMNIFTION

 

IDEMNIFYING DIRECTORS AND OFFICERS

Section 1. Indemnification. The club shall indemnify and save harmless to the fullest extent permitted by law any officers director,  or any former officer, director or, and his heirs, personal representatives, administrators and other legal representatives from and against:

(a)  Any liability and all costs, charges and expenses that he sustains or incurs in respect of any action, suit or proceeding that is proposed or commenced against him for or in respect of anything done or permitted by him in respect of the execution of the duties of his office; and 

(b)  Any other liability and all costs, charges and expenses that he sustains or incurs in respect of the affairs of the club.
